- ARTICLE I
- NAME
-
- The name of this organization shall be Alaska State Youth
Soccer Association, also refereed to as
"ASYSA".

- ARTICLE II
- PURPOSE, MISSION, CORE VALUES AND
BELIEFS
-
- Purpose: Our purpose is to develop youth soccer in
the State of Alaska to its maximum possible potential.
"Youth" means boys and girls under twenty (20)
years of age.

- Mission: Our mission is to provide leadership,
administrate state level programs, educate our members
and the public about the game of soccer, and coordinate
youth soccer in the State of Alaska to accomplish the
following measurable objectives:

- 1) Maximize the number of youth soccer players
in Alaska at all ages and skill levels to expand
opportunity for participation, and promote the
visibility of the sport.

- 2) Maximize the number of USSF and NSCAA licensed
youth soccer coaches at each coaching level to
advance the level of player skill and competition.
-
- 3) Maximize the number of USSF licensed youth
soccer referees at each licensed level to promote
fair play and amplify knowledge of the rules.
-
- 4) Maximize the number and quality of playing
fields and indoor facilities available for youth
play to improve opportunities for play.

- 5) Provide an effective forum and central point
for communication with the public and between
all soccer players, coaches, referees, clubs and
leagues in Alaska.
- Core Values and Beliefs:
- a) The Alaska State Youth Soccer Association is a
member of the United States Youth Soccer Association
(USYSA) team. We believe in the Mission of USYSA, and
agree to work within USYSA national rules and
regulations to accomplish our purpose;

- b) Soccer is fun and should remain that way;
-
- c) Soccer is a lifetime family sport;
-
- d) Every kid in Alaska who wants to play soccer is
our concern;
-
- e) Well organized youth sports help develop good
character and sportsmanship;
-
- f) Positive physical, mental and emotional growth and
character development of our players is of prime
importance. Kids are our first priority;
g) Youth soccer helps develop all around athletic skills;
- h) There should be a continuum of development and
participation of all members;
-
- I) Athleticism is valuable as an individual
accomplishment. We enjoy and encourage soccer at its
highest level of play;

- J) Education and communication are our best tools;
-
- K) Safety and fair play are among our highest
priorities;
-
- l) Equal opportunity should be available to all
players regardless of race, color or creed. Youth
soccer programs should include the full spectrum of
social, economic and cultural diversity within
Alaska;

- m) We should be financially responsible;
-
- n) We believe in the value of positive role models;
-
- o) We believe that all adult volunteers should be
held accountable to exhibit good sportsmanship,
ethical conduct, and positive behavior in the
presence of our players;

- p) Volunteers are important assets and should be
encouraged and cultivated.

- ARTICLE III
- ORGANIZATION
-
- The organization of Alaska State Youth Soccer Association
shall be pursuant to the General Non-Profit Corporation
Law of the State of Alaska. This organization is
organized exclusively for charitable purposes within the
meaning of section 501 © (3) of the Internal Revenue
Code.

- ARTICLE IV
- AFFILIATION

- This Association shall be an affiliated branch of and
comply with the authority of the United States Soccer
Federation (USSF) and the United States Youth Soccer
Association (USYSA).

- ARTICLE V
- ADMINISTRATION
-
- 1. Governing Body - Board of Directors. The
Alaska States Youth Soccer Association shall be governed
by a Board of Directors. The business of the Alaska State
Youth Soccer Association shall be transacted by this
Board of Directors pursuant to the Constitution, By-Laws,
and Rules and Regulations of the ASYSA, except where
those are superseded by the USYSA or USSF.

- 2. Composition of Board. The Board of Directors
shall consist of a President, Vice-President, Secretary,
Treasurer, Registrar, a maximum of two (2)
Members-At-Large from each of the Districts, State Youth
Referee Administrator (SYRA), the Immediate
Past-President of ASYSA, and District Commissioners, one
each representing each of the districts within the
boundaries of the Alaska State Youth Soccer Association.

- 3. Executive Committee. The Board of Directors may
delegate its authority to an Executive Committee between
board meetings. The Executive Committee shall include,
but not be limited to, the following board members: the
President, Secretary, Vice-President, Treasurer, and
Registrar.

- 4. Meeting of Board and AGM. One regular meetings
of the Board of Directors and one Annual General Meeting
("AGM") shall be held each year, but the Board
will be subject to the call of the presiding officer of
President for special sessions from time to time as may
be required by operation of the Alaska State Youth Soccer
Association. Board members maybe considered present if in
contact through video conference or teleconference. In
order to conduct business of a board meeting, there must
be present a quorum of the elected Board of Directors.
Written notice of the meetings should be received by each
board member at least thirty (30) days prior to the
meetings, such notice maybe waived if agreed to by All
board members not present.
- The Annual General Meeting will be held no later than
October 31st. The President of ASYSA, with the
concurrence of the Board of Directors, shall call for an
Annual General Meeting of the membership no later than
October 31st as directed in the order of business from
the preceding year. There shall be at least sixty (60)
days public notice prior to the Annual General Meeting.

- 5. Vacancy on Board. In the event a vacancy,
except immediate Past-President, should occur in the
Board of Directors, the position shall be deemed vacant
and, except for District Commissioners and
Members-At-Large, may be filled by a majority vote of the
remaining directors. A member of the board may be removed
prior to completion of their term of office by a
two-thirds (2/3) vote of the body that elected them.
- When a District Commissioner or Member-At-Large position
is declared vacant, the Board of Directors shall call for
an election by the respective district of a new District
Commissioner or Member-At-Large within a period of sixty
(60) days of said declaration. If such election is not
held by the district in which the vacancy occurs, the
Board of Directors
- shall appoint a District Commissioner or Member-At-Large
from that district. The newly elected or appointed
District Commissioner or Member-At-Large shall serve out
the remainder of the unexpired term of office of the
District Commissioner or Member-At-Large who has left or
has been removed from that office.
- A vacancy may exist in any position because of, among
other things, death, resignation, removal or
disqualification.

- ARTICLE VI
- ORDER OF BUSINESS.

- The order of business at the Annual General Meeting shall
be as follows:

- D. Introduction of guests
- E. Acceptance of the Minutes of the previous Annual
General Meeting.
- F. Correspondence
- G. Reports:
- 1. President
- 2. Vice-President

- ARTICLE VII
- AMENDMENTS.
-
- Proposed changes to the existing constitution and/or
by-laws shall be submitted in writing to the ASYSA
secretary no later than sixty (60) days prior to the
Annual General Meeting. Notification of proposed changes
shall be circulated to all voting members no later than
thirty (30) days prior to the Annual General Meeting.
- Amendments to the Constitution and/or By-Laws of the
ASYSA shall be made at the Annual General Meeting.
Amendments shall be deemed adopted by an affirmative vote
of three-fourths (3/4) of the voting members (as defined
in Article I of the ASYSA By-Laws) present at the Annual
General Meeting. Amendments to the Constitution and/or
By-Laws become effective at the close of the Annual
General Meeting at which they are adopted.

- ARTICLE VIII
- DISSOLUTION.

- In the event the organization becomes defunct, merges
with another organization or is dissolved, the assets
shall be turned over to USYSA or as directed by the laws
of the State of Alaska. Upon the winding up and
dissolution of this corporation, after paying or
adequately providing for the debts and obligations of the
corporation, the remaining assets shall be distributed to
a non-profit fund, foundation, or corporation which is
organized and operated exclusively for charitable,
educational, religious and/or scientific purposes and
which has established its tax exempt status under section
501 © (3) of the Internal Revenue Code.

- ARTICLE IX -
BOUNDARIES AND HEADQUARTERS.

- The boundaries of Alaska State Youth Soccer Association
shall be the entire State of Alaska. The Board may create
geographical subdivisions within the state, which shall
be known as districts. District boundaries shall be fixed
and/or modified by the Board of Directors of the ASYSA
before but no later than the fifteenth (15th) day of
April of the Seasonal Year (September 1st to August
31st).

- ARTICLE X
RULES OF PLAY.

- 1. Rules of Play
- A. The rules of play shall be the Laws of the Game as
published by FIFA except those modified for the benefit
of Youth Soccer by the United States Soccer Federation
(USSF), the United States Youth Soccer Association
(USYSA) and the Alaska State Youth Soccer Association
(ASYSA).
- B. All games shall be played under the rules and
regulations of Alaska State Youth Soccer Association.
While in general terms leagues may adopt rules which are
more restrictive than these ASYSA rules, leagues may not
adopt rules which are less strict than these ASYSA rules.
No league rule may be adopted which is in violation of
these ASYSA rules or in violation of the spirit and
intent of the ASYSA soccer program.

- 2. Disclaimer of Financial Responsibility.

- Alaska State Youth Soccer Association (ASYSA)
specifically disclaims financial responsibility for, and
shall not assume nor be held liable for, the debt or
financial obligation, either expressed or implied, of any
member league or club, or team, or any of the coaches,
managers, officers, officials, or members of any
affiliated member league or club or team.

- ARTICLE XI
- COLORS.
-
- The representative colors of Alaska State Youth Soccer
Association shall be blue and gold.
